1. Introduction
These Terms of Service (“Terms”) govern use of the FreightSource service, including www.freightsource.co.uk and app.freightsource.co.uk (together, the “Service”), provided by Geater Ltd (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms.
If you use the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.
2. Definitions
- “Account” — a user account on the Service
- “Subscriber” — a person or business with a paid or trial Account
- “Trade Data” — UK import, export, and business intelligence records surfaced through the Service, primarily derived from HMRC trade statistics
- “We”, “Us”, “Our” — Geater Ltd, provider of FreightSource
3. User Responsibilities
You agree to:
- Provide accurate registration and billing information
- Keep your login credentials secure and notify us promptly of any compromise
- Use the Service only for lawful purposes
- Not attempt to copy, scrape, mirror, resell, reverse-engineer, or otherwise exploit the Service or its data beyond what these Terms permit
- Not use the Service to send unsolicited marketing in breach of PECR, UK GDPR, or equivalent law
- Not use automated means (bots, scrapers) against the Service except via documented APIs
4. Trade Data and Accuracy
Trade Data is sourced from public datasets, including HMRC trade statistics, and from licensed third-party providers. We take reasonable steps to keep it current and accurate, but:
- We do not warrant completeness, timeliness, or accuracy of Trade Data
- Trade Data must not be relied on as the sole basis for material commercial, legal, or financial decisions without independent verification
- Trade Data is licensed to you for your internal business use; redistribution, public republishing, or resale requires our prior written consent
5. Subscriptions, Payment & Refunds
- Subscription tiers, prices, and limits are shown on our Pricing page
- Subscriptions renew automatically unless cancelled before renewal
- Prices are in GBP and exclude VAT unless stated
- You can cancel at any time; cancellation takes effect at the end of the current billing period
- Refunds are at our discretion and generally not provided for partial billing periods
6. Service Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, upgrades, or security. We are not liable for downtime, data loss, or consequential loss caused by interruptions.
7. Intellectual Property
The Service, its code, design, branding, and original content are owned by Geater Ltd. You are granted a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
You may not:
- Reverse engineer, decompile, or disassemble the Service
- Reproduce or distribute any part of the Service or its data outside the licensed use
- Remove or obscure copyright, trade mark, or other proprietary notices
8. Acceptable Use
You must not use the Service to:
- Violate any law or third-party right
- Transmit malware, attempt to gain unauthorised access, or interfere with the Service
- Build a competing product or training dataset
- Scrape, bulk-export, or republish data outside permitted exports
We may suspend or terminate Accounts that breach this section without notice.
9. Account Termination
We may suspend or terminate your Account for breach of these Terms, non-payment, fraud, or illegal activity. You may delete your Account at any time through the Delete Account page. On termination, your right to use the Service ends immediately and outstanding fees become due.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” without warranties of any kind
- We are not liable for loss of profits, revenue, data, business, or anticipated savings, or any indirect or consequential loss
- Our total aggregate liability in any 12-month period is limited to the fees you paid us in that period (or £100 if no fees were paid)
Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or for death or personal injury caused by negligence.
11. Indemnity
You agree to indemnify Geater Ltd against any third-party claims arising from your misuse of the Service or breach of these Terms.
12. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.
